TERMS AND CONDITIONS OF SALE
PRICES: All prices quoted are exclusive of taxes and freight charges. Purchaser shall furnish to Atech Flash Technology an appropriate tax-exemption certificate, if applicable.

TERMS OF PAYMENT: All goods are payable COD immediately upon receipt, unless otherwise arranged. A finance charge of 1.5% per month, not to exceed the maximum allowable by law, shall be applied each month to past due accounts. Handling charges will be assessed to returned checks. In the event of Purchaser’s default on payment for products pruchased hereunder. Purchaser shall be responsible for all reasonable costs and expenses incurred by Atech Flash Technology in collection of any sums owed by Purchaser. Such reasonable costs and expenses of Atech Flash Technology shall include, but not be limited to, reasonable attorney’s fees, plus any other costs of such action. Atech Flash Technology shall not be obligated to make any further deliveries to Purchaser.

DELIVERY: Shipment of all products shall be FOB Atech Flash Technology. In the event of carrier’s damage, loss or misdelivery of product, it shall be the responsibility of the Purchaser to deal with the carrier. In the absence of specific shipping instructions, Atech Flash Technology will select the method and carrier it deems best. Delivery schedules are approximate only. Atech Flash Technology will make every reasonable effort to deliver on time, however, Atech Flash Technology shall not be liable for late or lost shipments.

TITLE: Title and risk of loss or damage to product shall pass to Purchaser upon delivery to carrier or Purchaser or Purchaser’s Agent at FOB point. The above notwithstanding. Purchaser agrees that Atech Flash Technology shall retain a purchase money security interest in all products sold to Purchaser and to all products now or hereafter acquired by Purchaser (“the collateral”) and to any proceeds from the disposition of said products until the purchaser price and other charges due Atech Flash Technology have been paid in full. Upon any default by Purchaser hereunder, Atech Flash Technology shall have all rights and remedies of secured party under the Uniform
Commercial Code, which rights shall be commutative.

CHANGES AND CANCELLATIONS: Orders accepted by Atech Flash Technology are not subject to change or cancellation by Purchaser except with Atech Flash Technology’s written consent AND upon payment of an appropriate charge to cover the cost or loss incurred by Atech Flash Technology which, unless otherwise agreed in writing, shall be not less than fifteen percent (15%) of the price of the goods subject to change or cancellation.

LIMITATION OF LIABILITY: In no event shall Atech Flash Technology be liable for any loss of use, revenue, or anticipatory profit, or for any direct, indirect or consequential damages arising out of or connected with sale, use or operation of goods sold.

DESIGNS: Any designs, schematics, data, or other technical information supplied by Atech Flash Technology to Purchaser in connection with the sale of good shall remain Atech Flash Technology property and be held in confidence by Purchaser. Such information shall not be reproduced or disclosed to others without Atech Flash Technology prior written consent.

APPLICABLE LAW: The rights and obligation of the parties under this agreement shall be governed by the laws of the State where the Atech Flash Technology office responsible for the sale is located.

RMA POLICY
This RMA Policy is intended solely for products sold by Atech Flash Technology. Products purchased through other sources (e.g. direct from factory or through importers) may be eligible for this policy upon written confirmation by a representative of Atech Flash Technology.

RETURNS: To obtain an RMA number, the following MUST be provided:
1. Atech Flash Technology’s Invoice, number and date.
2. Product model and serial number (if available)

EXCHANGES CREDITS: Returns are for repair or replacement only, at the sole discretion of Atech Flash Technology. Except as outlined below, credits and exchanges are not allowed. If requested within fifteen (15) days of the Atech Flash Technology Invoice date, a credit or exchange may be issued for purchases of a given product. A restocking or handling charge may be applied to credits and exchanges beyond the above period and on those not following the procedures outlined in this policy.

RMA FORM: Available from our RMA Department, and RMA Symptom Description Form should be completed and sent with each RMA item

SHIPPING: End users must send RMA merchandise directly to their dealer. Dealers and distributors should ship RMA items, if any, to Atech Flash Technology at least once a week. All RMA items must be shipped FREIGHT PREPAID to the Atech Flash Technology office where the product was originally purchased, with the RMA number prominently displayed on the shipping label, and have a completed RMA Symptom Description Form attached. Shipment’s not meeting ALL the above conditions are subject to the imposition of handling charges by Atech Flash Technology.

ATECH FLASH TECHNOLOGY SHALL PAY THE SHIPPING COSTS TO RETURN REPAIRED OR REPLACEMENT ITEMS TO THE PURCHASER, provided the following conditions are met: (1) items were originally purchased from Atech Flash Technology, (2) items are still under warranty, and (3) items are confirmed to be defective. Shipping and handling charge shall be assessed for products received which are: (1) not defective, (2) counterfeit items, or (3) another company’s brand.
Such products shall be refused or shipped back to Purchaser COD. If help is needed in distinguishing genuine Atech Flash Technology products from fake ones, please contact Atech Flash Technology’s Technical Support Department.

REPAIR SCHEDULE: Repairs to products shall be made within fifteen (15) days from date of receipt, twenty (20) days (or more) for shipments exceeding fifty (50) pieces.
If the product has not been repaired within the time allotted, a replacement of the same model number will be shipped instead.

WARRANTY PERIOD: When purchased from Atech Flash Technology.., products are warranted free from defect in material and workmanship for twelve months from the Atech Flash Technology invoice date. This covers parts and labor required to repair or replace such product. For more information, see Atech Flash Technology’s Limited Warranty. Repaired items whether customer original or Atech Flash Technology replacement for same, are warranted for the remainder of the original warranty period. Atech Flash Technology also performs out-of warranty repairs for most products. Please call our RMA department for current information on pricing and availability.

CHARGES: Please check with RMA Department for current shipping, handling, restocking, and out-of warranty repair charges.

POLICY AND CONDITIONS SUBJECT TO CHANGE WITHOUT NOTICE.

LIMITED WARRANTY
This limited warranty is extended only to wholesale customers, hereinafter called “Purchasers”, who purchase product from Atech Flash Technology, hereinafter called “Atech Flash Technology” and is valid only with respect to those Purchasers in the Continent of America and Europe. Subject to the following conditions should this product prove defective by reason of improper workmanship or material under normal use and service conditions within twelve (12) months from the date or original purchase by Purchaser. Atech Flash Technology will repair or, at its option, replace the product without charge for parts or labor. This limited warranty does NOT apply if (a) the product is damaged by accident, improper installation, misuse, lightning, fire, water, or other acts of nature, (b) the product is altered or repaired by anyone other than Atech Flash Technology or a Atech Flash Technology authorized warranty station. or (c) the serial number is removed or tampered with. This warranty does not cover broken or marred cabinets, cases or covers. Should this product prove defective in workmanship or material, the Purchaser’s sole remedy shall be such repair or replacement as is provided above. Under no circumstances shall Atech Flash Technology be liable for any loss or damage, direct, consequential, or incidental arising out of the inability to use this product.
In order to obtain warranty service, evidence of pruchase date must be provided. It is strongly recommended Atech Flash Technology date invoice be retained as evidence of the purchase date and serial number. Atech Flash Technology makes no warranty other than the one set forth herein. Such warranty is in lien of all other warranties, expressed or implied, including but not limited to any expressed or implied warranty of merchant ability or fitness for a particular purpose, and such constitutes the only warranty made with respect to the goods.
